Commercial Legal Counsel

  • On-site
    • Sliema, Sliema, Malta
  • Business Operations

Job description

Step into the role of Commercial Legal Counsel and drive contracts, risk management, and commercial legal strategy at the heart of Fast Track’s operations.

The role sits within a lean legal team and provides a defined scope and the ability to focus on mastering commercial contracting, risk management, and dispute management. The main focus lies on client and partner-facing contracts, commercial escalations, and policy alignment.

This role is for someone who wants to combine day-to-day deal work with the opportunity to build scalable processes, refine playbooks, and contribute to the overall direction of Fast Track’s commercial legal approach. It offers the autonomy to make decisions within agreed boundaries, the trust to manage high-value negotiations, and the chance to see the direct impact of legal work on business outcomes.

The Commercial Legal Counsel role is an opportunity to work at the centre of Fast Track’s commercial operations and directly shape how the business approaches legal matters. Rather than simply processing agreements, this position plays an active part in developing and refining the company’s commercial legal strategy ensuring our contracts and policies support growth while protecting our interests.

Your responsibilities as a Commercial Legal Counsel at Fast Track would include:

Deal Enablement and Contracting

  • Lead the review, drafting, and negotiation of client, partner, and supplier agreements, including MSAs, NDAs, DPAs, and partnership contracts.

  • Participate directly in deal discussions and closing calls, providing real-time legal guidance to accelerate contract finalisation

Commercial Risks Management

  • Manage commercial escalations, including contractual disputes, change requests, and payment issues, ensuring resolutions align with both legal protections and commercial objectives.

  • Apply sound business judgment to assess and take calculated risks that enable the business to achieve its revenue goals.

Process and Templates Improvements

  • Support the development and governance of commercial legal policies, including maintaining and applying contract playbooks, fallback positions, and standard templates.

  • Identify recurring negotiation themes and recommend updates to templates, playbooks, or processes to improve efficiency and consistency.

Cross-Functional Legal Support

  • Provide timely, practical advice to Sales, B2B, Finance, and Partner Success, ensuring consistent advising.

  • Occasionally support procurement and supplier contracting to ensure alignment with company standards.

Job requirements

  • Master’s degree in Business Law, Digital Law, or a related legal discipline

  • Proven track record working in commercial legal roles, preferably in a B2B tech, SaaS, or digital services environment.

  • Solid experience negotiating and reviewing commercial contracts

  • Demonstrated ability to balance legal risk with business priorities

  • Strong interpersonal skills, with a proactive, collaborative, and business-enabling approach

  • Comfortable operating independently, managing deal pipelines and resolving escalations in a fast-paced setting.

  • Understanding of data protection, IP rights, and platform-based commercial models (e.g., SaaS, usage-based pricing)

  • Fluent in English
